Terms of Use

These Terms govern your access to and use of the Baiden & Associates PLLC website, online scheduling tools, and client portal.

These Terms of Use (“Terms”) govern your access to and use of the Baiden & Associates PLLC (“Baiden & Associates,” “we,” “us,” or “our”) website, online scheduling tools, and client portal (collectively, the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site. These Terms are separate from, and should be read together with, our Privacy Policy and the Notice of Privacy Practices, which govern how we handle your information.

1. Description of Services

Baiden & Associates provides fully virtual behavioral health services through clinicians licensed in Maryland, Virginia, the District of Columbia, North Carolina, and Ohio; a legacy supervised visitation service; and, through our LeafyNotes Consulting division, business process, documentation, and audit-preparation services to behavioral health provider organizations. The Site allows you to learn about these services, request an appointment, and, once you are an established client, access our client portal.

2. Not for Emergencies

The Site and our telehealth services are not designed or intended for use in a medical or mental health emergency. If you are experiencing a crisis, thoughts of harming yourself or others, or any emergency, call 911, go to the nearest emergency room, or contact the 988 Suicide & Crisis Lifeline. Submitting a form on the Site, sending an email, or leaving a voicemail is not a reliable or monitored way to reach us in an emergency.

3. Eligibility

  • You must be physically located in a state where Baiden & Associates is licensed to practice (Maryland, Virginia, the District of Columbia, North Carolina, or Ohio) to receive clinical telehealth services.
  • You must be at least 18 years old to create a client portal account or independently consent to treatment, except where a parent or legal guardian is consenting on behalf of a minor, or in connection with our supervised visitation service.
  • If you are using the Site on behalf of a behavioral health provider organization in connection with LeafyNotes Consulting, you represent that you are authorized to act on that organization’s behalf.

4. No Provider-Client Relationship From Site Use Alone

Browsing the Site, submitting a general contact or scheduling inquiry, or requesting information does not, by itself, create a clinician-client relationship or a consulting engagement. A clinician-client relationship begins only after intake is complete and required consents (including the Notice of Privacy Practices, Informed Consent for Telemedicine Services, and related forms) have been signed. A LeafyNotes Consulting engagement begins only upon execution of a separate services agreement.

5. Scheduling, Fees, and Cancellations

The Site describes our services generally and is not a binding quote or guarantee of fees, availability, or insurance coverage. Fees, self-pay rates, insurance billing, and our cancellation policy are set out in the separate forms provided and signed at intake (including the Self-Pay Agreement and No-Show/Cancellation Policy), which control in the event of any conflict with information on the Site.

6. Client Portal and Account Responsibilities

Our client portal is hosted through Sessions Health. You are responsible for maintaining the confidentiality of your login credentials, for all activity that occurs under your account, and for providing accurate and current information. Notify us promptly at info@baidenassociates.org if you suspect unauthorized access to your account.

7. Insurance and Billing

We participate with Aetna, Cigna, Optum/UHC, and Carelon, with claims processed through our billing partners, Headway and Alma, and, where applicable, other affiliated billing partners for Maryland Medicaid, Medicare, or other Behavioral Health Administration (BHA)-regulated billing arrangements. Your eligibility, benefits, and cost-sharing are determined by your insurance plan, not by Baiden & Associates, and coverage is not guaranteed. You remain responsible for any amounts your plan does not cover.

8. Telehealth

Use of our telehealth services is governed by the separate Informed Consent for Telemedicine Services you sign at intake, which describes the risks, limitations, and technology used (Sessions Health). These Terms do not replace that consent.

9. Educational Content, Not Medical Advice

Content on the Site, including blog posts, articles, and general descriptions of conditions or treatment approaches, is provided for general educational purposes only and is not individualized clinical advice. It is not a substitute for an evaluation by a licensed clinician, and you should not rely on it to make decisions about your health without consulting your provider.

10. Intellectual Property

The Site and its content, including text, graphics, logos, and the Baiden & Associates and LeafyNotes Consulting names and branding, are owned by or licensed to Baiden & Associates PLLC and are protected by copyright and trademark law. You may view and print Site content for your own personal, non-commercial use. You may not copy, reproduce, distribute, or create derivative works from Site content for any other purpose without our written permission.

11. User Conduct

  • Use the Site only for lawful purposes and in a manner consistent with these Terms.
  • Do not attempt to gain unauthorized access to any account, system, or network connected to the Site.
  • Do not use automated means (scraping, crawling, or similar tools) to collect data from the Site without our written permission.
  • Do not impersonate any person or misrepresent your affiliation with any person or entity.
  • Do not upload or transmit any virus, malware, or other harmful code.

12. Third-Party Links and Platforms

The Site may link to, or integrate with, third-party platforms such as our EHR and telehealth platform (Sessions Health), insurance billing partners (Headway, Alma), and scheduling/referral services (Zocdoc). These third parties operate under their own terms of use and privacy policies, which we encourage you to review. We are not responsible for the content, security, or practices of third-party platforms.

13. LeafyNotes Consulting Clients

If you engage LeafyNotes Consulting, that engagement is governed by a separate services agreement and, where applicable, a Business Associate Agreement between your organization and Baiden & Associates PLLC. These Terms govern your general use of the Site and any shared client portal, but do not modify the terms of that separate agreement.

14. Disclaimers

THE SITE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY THIRD-PARTY PLATFORM WE USE (INCLUDING SESSIONS HEALTH, HEADWAY, ALMA, OR ZOCDOC) WILL BE AVAILABLE AT ALL TIMES. TO THE EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE SITE.

15. Limitation of Liability

To the extent permitted by law, Baiden & Associates PLLC shall not be liable for indirect, incidental, or consequential damages arising from your use of, or inability to use, the Site, including damages related to third-party platform outages or technical failures during a telehealth session. Nothing in these Terms limits any liability that cannot be limited under applicable professional licensing or malpractice law.

16. Indemnification

You agree to indemnify and hold harmless Baiden & Associates PLLC, its clinicians, and staff from claims arising out of your misuse of the Site or violation of these Terms, except to the extent caused by our own negligence or willful misconduct.

17. Governing Law

These Terms are governed by the laws of the State of Maryland, without regard to its conflict-of-laws principles, except that the standard of care and licensing obligations for clinical services are governed by the law of the state in which the service was provided.

18. Website Accessibility

We are committed to making the Site accessible to people with disabilities. See our separate Website Accessibility Statement for details on our approach and how to request an accommodation or report a barrier.

19. Changes to These Terms

We may update these Terms from time to time. The “Last Updated” date above reflects the most recent revision. Continued use of the Site after changes are posted constitutes acceptance of the revised Terms.
